Budy Terms of Service

These Terms of Service (the "Terms") are a binding agreement between you and Budy Tech, Inc., a Delaware corporation ("Budy," "we," "us," or "our"). These Terms govern your access to and use of the Budy mobile application and related services (collectively, the "Services"). The Services are offered only in the United States.

By creating an account or using the Services, you agree to these Terms and acknowledge our Privacy Policy. If you do not agree, do not use the Services.

1. Eligibility

You must be at least 13 years old to use the Services. If you are under the age of legal majority where you live, you may use the Services only with the consent and involvement of a parent or legal guardian. The parent or guardian must review and agree to these Terms on your behalf where required by law.

2. The Services

Budy provides tools for viewing and organizing connected financial accounts, transactions, budgets, goals, and related information. Budy cannot initiate a transfer or payment or otherwise transact on a connected financial account.

Budy is not a bank, financial adviser, investment adviser, broker, accountant, or tax adviser. Information provided through the Services is for informational and organizational purposes only and is not financial, investment, legal, or tax advice.

3. Accounts and Security

You must provide accurate account information and keep it current. You are responsible for safeguarding your credentials and for activity conducted through your account, except to the extent caused by Budy's breach of these Terms or applicable law. Notify security@budyget.com promptly if you suspect unauthorized access. You may review and revoke active sessions through the Services.

4. Connected Financial Institutions and Plaid

Financial-account connections are provided through Plaid. Plaid's terms and privacy policy also apply to a connection established through Plaid.

By connecting an account, you represent that you are authorized to access it and to provide the instructions needed to establish the connection. You must not connect an account you do not own or have authority to access.

Information from a financial institution or Plaid may be delayed, incomplete, or inaccurate. The financial institution's records, not the information shown by Budy, are authoritative.

5. Sharing

The Services may permit users, including partners, family members, and a guardian-linked minor, to share selected information. Sharing requires the agreement of each participating user or, for a minor, the involvement of a parent or legal guardian. A participating user may end a sharing relationship at any time. When sharing ends, each person loses access to information provided solely through that relationship.

You are responsible for information you choose to share. You may share only information you are authorized to disclose and should review the information and people included before enabling or continuing a sharing relationship.

6. Fees and Billing

Budy charges $1 per month for each connected financial institution, plus any applicable tax. A single institution may contain multiple financial accounts; the charge is based on the connected institution, not the number of accounts at that institution. The Services will display applicable price and renewal terms before purchase.

Purchases made through Apple or Google are billed and administered by the applicable application store and are subject to that store's payment, cancellation, and refund terms. Unless otherwise disclosed at purchase, subscriptions renew automatically until canceled through the applicable store.

We may change prices prospectively. We will provide any notice and obtain any consent required by applicable law or application-store rules before a change applies to an existing subscription.

7. License and Ownership

Subject to these Terms, Budy grants you a limited, personal, nonexclusive, nontransferable, nonsublicensable, and revocable license to access and use the Services for their intended purpose.

The Services, including their software, design, text, and trademarks, are owned by Budy or its licensors and are protected by applicable intellectual-property law. No right is granted except as expressly stated in these Terms.

8. User Content

You retain ownership of information and content you submit to the Services, including budgets, goals, notes, and receipt images ("User Content"). You grant Budy a limited license to host, process, reproduce, and display User Content as needed to operate, secure, and improve the Services and comply with law. This license ends when the User Content is deleted, except while it remains in backups for the period described in the Privacy Policy or must be retained by law.

You represent that you have the rights necessary to provide User Content and that doing so does not violate law or another person's rights.

9. Acceptable Use

You must not:

• access or attempt to access another person's account or data without

authorization;

• interfere with or circumvent the security or operation of the Services;
• probe, scan, or test the Services except through a good-faith security

research process authorized by Budy;

• scrape, resell, or commercially exploit the Services except through an

interface and use expressly authorized by Budy;

• reverse engineer the Services except to the extent applicable law prohibits

this restriction;

• upload malicious code or unlawful or infringing content; or
• use the Services in violation of applicable law.

Good-faith vulnerability reports may be sent to security@budyget.com.

10. Suspension, Termination, and Account Deletion

You may stop using the Services at any time and may initiate account deletion in Settings > Your data. Deletion is completed as described in the Privacy Policy.

We may restrict, suspend, or terminate access when reasonably necessary to address a security, fraud, or safety risk; respond to a material or repeated violation of these Terms; comply with law or valid legal process; or protect Budy, our users, or others. When legally permitted and reasonably practicable, we will provide notice of the reason.

11. Availability and Changes

We do not guarantee that the Services will be uninterrupted, error-free, or available at all times. Availability may be affected by maintenance, security events, and third-party providers, including financial institutions, Plaid, and Amazon Web Services.

We may modify or discontinue a feature. We will provide reasonable advance notice if a material change adversely affects an existing user, unless an earlier change is needed for security, legal, or operational reasons.

12. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." BUDY DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NONINFRINGEMENT.

Budy does not warrant that information received from a financial institution or Plaid is complete, accurate, or current. You are responsible for verifying information used to make a financial decision against the relevant financial institution's records. Some jurisdictions do not permit certain warranty exclusions, so some exclusions may not apply to you.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BUDY WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, BUSINESS OPPORTUNITIES, OR DATA, ARISING FROM OR RELATING TO THE SERVICES OR THESE TERMS.

Budy is not responsible for a loss caused by inaccurate or delayed information provided by a financial institution or Plaid, except to the extent the loss results from Budy's breach of these Terms or applicable law. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

14. Changes to These Terms

We may update these Terms to reflect changes to the Services, applicable law, or our business. The revised Terms will state their effective date. We will provide notice through the Services before a material change takes effect. If law requires affirmative consent, we will request it. Otherwise, continued use after the effective date constitutes acceptance of the revised Terms.

15. Governing Law and Venue

Utah law governs these Terms and any dispute arising from or relating to the Services, without regard to conflict-of-laws rules. You and Budy consent to the exclusive jurisdiction and venue of the state and federal courts located in Salt Lake County, Utah. This section does not limit any nonwaivable consumer right or protection available under applicable law.

16. General Terms

These Terms and the Privacy Policy constitute the entire agreement between you and Budy concerning the Services. If a provision is unenforceable, it will be modified only to the extent necessary, and the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, reorganization, or sale of assets.
